Plain-language definitions for the terms used in Conti agreements and help articles, so you know exactly what every word means before you sign.
A
- Abandonment Gig Agreement
- A sustained failure to perform services or respond to reasonable written communication for a defined number of consecutive business days. Under Conti Gig Agreements, abandonment is a triggering event for immediate termination without the standard notice period.
- As-Is Bill of Sale
- Sold in its current condition, with no warranties from the seller beyond what is explicitly stated in the document.

- Bill of Sale Bill of Sale
- The document that records the transfer of personal property from one party to another and serves as proof the transaction occurred.
- Binding Agreement All agreements
- A contract that is legally enforceable because it meets all required elements: a clear offer, acceptance by the other party, and consideration exchanged between them.
- Breach All agreements
- A failure by one party to fulfill a material obligation under the agreement without a valid legal excuse. A breach typically entitles the non-breaching party to seek remedies.
- Buyer Bill of Sale
- The party receiving ownership of the item and paying for it.
C
- Clear Title Bill of Sale
- Ownership of an item that is free of any liens, claims, or encumbrances, meaning the seller has the legal right to sell it.
- Consideration All agreements
- Something of value — payment, services, or a mutual promise — exchanged between parties that makes a contract legally binding. Without consideration on both sides, an agreement is generally unenforceable.
- Counterparty All agreements
- The other person entering into an agreement with you — the party on the other side of the contract.

- Effective Date All agreements
- The date on which the terms of the agreement take legal effect between the parties.
- Executed Agreement All agreements
- An agreement that has been signed by all required parties, making it fully binding.

- Flat Fee Gig Agreement
- A fixed, agreed-upon total payment for all services under the agreement, regardless of the time or effort required to complete them.
G
- Governing Law All agreements
- The state whose laws apply to interpret and enforce the agreement if a dispute arises. Conti agreements require each party to designate a governing state.
I
- Indemnification All agreements
- A party's obligation to defend, compensate, and hold harmless the other party from third-party claims, damages, or legal costs arising from specified events — typically that party's own breach or negligence.
- Independent Contractor Gig Agreement
- A self-employed person or business that provides services to a client under a contract. Not an employee — the contractor sets their own methods, pays their own taxes, and is responsible for their own insurance and benefits.
- Installment Sale Bill of Sale
- A payment structure in which the buyer pays the purchase price in multiple scheduled payments over time rather than a single lump sum at closing.
L
- Landlord Sublease
- The property owner or manager. A party to the primary lease but not to the sublease — the Sublessee has no direct legal relationship with the landlord.
- Lien Bill of Sale
- A legal claim against an item, typically held by a lender who financed its purchase. A lien must be satisfied before clear title can transfer to the buyer.
M
- Milestone Gig Agreement
- A defined phase or deliverable within a project. Payment is typically triggered upon the client's written acceptance of each milestone rather than at project completion.
O
- Odometer Disclosure Bill of Sale
- A federally required statement confirming the vehicle's mileage at the time of transfer and whether the reading is accurate, exceeds the odometer's limits, or is known to be incorrect.
P
- Primary Lease Sublease
- The original lease between the Sublessor and their landlord. The sublease is subordinate to it, meaning the primary lease's rules apply to the Sublessee even if they've never seen it.
- Pro-Rata Gig AgreementAll agreements
- Proportional — calculated based on a share of the whole. In service agreements, used to determine partial payment owed for work completed up to the date of termination.
- Purchase Price Bill of Sale
- The total amount the buyer agrees to pay the seller in exchange for ownership of the item, as stated in the bill of sale.
R
- Risk of Loss Bill of Sale
- The rule that determines who bears financial responsibility if the item is damaged or destroyed after the sale is agreed to but before delivery is complete.
S
- Security Deposit Sublease
- Funds collected by the Sublessor from the Sublessee before move-in, held against unpaid rent or damages, and subject to agreed return conditions.
- Seller Bill of Sale
- The party transferring ownership of the item and receiving payment.
- Signatory All agreements
- A person who signs an agreement and is legally bound by its terms. All signatories must sign for an agreement to be fully executed.
- Sublessee Sublease
- The person moving in under the sublease. They have a legal relationship with the Sublessor only — not with the landlord directly.
- Sublessor Sublease
- The original tenant who is renting out all or part of their unit to someone new. Sometimes called the subletter.
- Subletter Sublease
- Another name for the Sublessor — the person doing the subletting. The terms Sublessor and subletter are interchangeable.
- Subordination Sublease
- The legal principle that the sublease operates within the bounds of the primary lease. If the primary lease ends or is violated, the sublease is affected accordingly.
T
- Termination All agreements
- The legal end of a contract before its natural expiration date, as permitted by its terms. Agreements typically require written notice and specify conditions under which either party may terminate.
V
- VIN Bill of Sale
- Vehicle Identification Number, a unique 17-character code assigned to every motor vehicle, used to identify it across ownership transfers.
W
- Waiver All agreements
- A voluntary decision not to enforce a right under an agreement. Choosing not to enforce a term once does not permanently give it up unless explicitly stated in writing.
- Warranty Bill of Sale
- A seller's promise about the condition or quality of the item being sold. Explicitly waived in as-is transactions — the buyer accepts the item in its current state.
